7. ACCOUNT REGISTRATION
Certain Platform features require account registration.
Users agree to:

To operate the Platform, Users grant Company a non-exclusive, worldwide, royalty-free license to host, reproduce, process, display, transmit, and otherwise use submitted content solely as reasonably necessary to provide, improve, secure, market, and support the Celebrate360 Platform.
This license terminates with respect to deleted content except to the extent retention is required for backups, legal compliance, security, dispute resolution, or other lawful purposes.

12. INTELLECTUAL PROPERTY
All intellectual property relating to the Celebrate360 Platform remains the exclusive property of Company or its licensors.

Businesses remain solely responsible for:
• reservation fulfillment;
• pricing;
• food and beverage services;
• event operations;
• customer service;
• cancellation policies;
• no-show policies;
• applicable legal compliance.

18. EVENTS, EXPERIENCES, AND PREPAID RESERVATIONS
Celebrate360 Reserve™ may allow subscribing businesses to offer:

• ticketed events;
• private dining;
• holiday events;
• promotional events;
• entertainment experiences;
• other hospitality offerings.
Company provides the software platform only.
The subscribing business is solely responsible for:
• creating events;
• establishing pricing;
• collecting required taxes;
• complying with applicable laws;
• honoring reservations;
• delivering purchased experiences;
• issuing refunds where applicable;
• communicating event-specific policies.
Company is not responsible for the quality, availability, legality, safety, or fulfillment of any event or reservation offered by subscribing businesses.

19. PAYMENT PROCESSING
Subscription fees, deposits, prepaid reservations, ticket purchases, and other transactions may be processed through authorized third-party payment processors.
Company does not guarantee continuous availability of any payment processor.
Users acknowledge that payment processing is subject to the applicable processor's terms, conditions, and privacy policies.
Company is not responsible for:
• payment processor outages;
• banking delays;
• declined transactions;
• card issuer decisions;
• processor fees;
• chargeback decisions.

Users represent that submitted content:
• is accurate;
• does not violate applicable law;
• does not infringe third-party rights;
• is not defamatory;
• is not fraudulent;
• is not misleading.
Company may remove content that violates these Terms.

These Terms apply to all Platform users regardless of whether they maintain an active subscription.
Where a conflict exists between these Terms and the Subscription Agreement regarding subscription-related matters, the Subscription Agreement shall control.

27. AUTHORIZED RESELLERS
Company operates an Authorized Reseller Program.
Authorized Resellers are independent contractors and are not employees, agents, franchisees, or legal representatives of Company except as expressly authorized in writing.
Customers enrolling through an Authorized Reseller remain customers of the Celebrate360 Platform.
Participation by Authorized Resellers is governed by the separate Celebrate360™ Authorized Reseller Program Agreement.

28. SUSPENSION
Company may suspend access to all or part of the Platform if Company reasonably believes that a User has:
• violated these Terms;
• violated applicable law;
• engaged in fraudulent activity;
• compromised Platform security;
• interfered with Platform operations;
• infringed intellectual property rights;
• created material legal, operational, or reputational risk.
Suspension may occur without prior notice where reasonably necessary to protect the Platform or its users.

29. TERMINATION
Company may terminate or restrict access to the Platform for violations of these Terms or other applicable agreements.
Upon termination:
• Platform access may immediately cease;
• licenses granted herein terminate;
• Users shall discontinue unauthorized use of Company intellectual property;
• obligations intended to survive termination shall remain in effect.
Termination of website access does not automatically terminate any separate Subscription Agreement unless expressly stated therein.

THE CELEBRATE360 PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• TITLE;
• NON-INFRINGEMENT;
• UNINTERRUPTED OPERATION;
• ERROR-FREE PERFORMANCE.
Company does not guarantee:
• increased revenue;
• customer growth;
• reservation volume;
• marketing success;
• review generation;
• referral generation;
• business profitability.
Business results depend upon numerous factors outside Company's control.

31. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY:
• INDIRECT DAMAGES;

• SPECIAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• EXEMPLARY DAMAGES;
• PUNITIVE DAMAGES;
• LOST PROFITS;
• LOST REVENUE;
• LOST BUSINESS;
• LOSS OF GOODWILL;
• LOSS OF DATA;
• BUSINESS INTERRUPTION.
WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
TO THE EXTENT PERMITTED BY LAW, COMPANY'S AGGREGATE LIABILITY ARISING FROM THESE TERMS SHALL NOT EXCEED THE GREATER OF:
(a) THE AMOUNT PAID BY THE USER TO COMPANY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(b) ONE HUNDRED UNITED STATES DOLLARS (US $100.00),
EXCEPT WHERE A GREATER LIMITATION IS PROHIBITED BY APPLICABLE LAW.

By using the Celebrate360 Platform, you consent to receive electronic communications from Company, including:

Electronic communications satisfy any legal requirement that such communications be in writing.

Company shall have no obligation to continue providing any specific feature indefinitely.

This Agreement governs paid subscriptions to the Celebrate360 Platform.

4. RELATIONSHIP TO OTHER AGREEMENTS

• applicable Order Forms;
• accepted Proposals or Quotes.
Where a conflict exists regarding subscription matters, this Agreement shall control.

5. ELIGIBILITY
Subscribers represent and warrant that:
• they possess authority to enter this Agreement;
• they are legally authorized to operate their business;
• all registration information is accurate;
• payment information is authorized for use;
• they will maintain accurate account information.

6. ACCOUNT CREATION
Subscribers must create an account before accessing subscription services.
Company may require:
• business information;
• contact information;
• billing information;
• payment verification;
• email verification;
• identity verification;
• additional documentation where reasonably necessary.
Company reserves the right to reject subscription requests.

7. SUBSCRIPTION ACTIVATION
Subscriptions become active after:
• account approval;
• successful payment authorization;
• completion of required onboarding;
• activation by Company where applicable.
Certain services may require additional implementation before becoming fully operational.

Company may offer various subscription plans, including but not limited to:

9. SUBSCRIPTION FEES

Applicable taxes are additional unless expressly stated otherwise.

10. BILLING
Subscription fees may be billed:

Subscribers authorize Company and its payment processors to charge all applicable recurring fees until the subscription is cancelled in accordance with this Agreement.

11. AUTOMATIC RENEWAL
Unless cancelled in accordance with this Agreement, subscriptions automatically renew for successive renewal terms equal to the original billing period.
Subscribers authorize recurring charges using the payment method on file.
Subscribers may update billing information through their account or by contacting Company.

12. PAYMENT METHODS
Accepted payment methods may include:
• credit cards;
• debit cards;
• ACH transfers;
• electronic payments;
• approved payment providers;
• other payment methods approved by Company.
Subscribers authorize Company to charge all applicable subscription fees using the designated payment method.

13. FAILED PAYMENTS
If payment cannot be successfully processed, Company may:
• retry payment;
• notify Subscriber;
• suspend access;
• restrict certain features;
• terminate the subscription after reasonable notice where appropriate.
Subscribers remain responsible for unpaid balances.

14. PRICE CHANGES
Company may modify subscription pricing from time to time.
Price changes shall not affect amounts already paid for the current billing period.
Where required by applicable law, advance notice of recurring subscription price increases will be provided.
Continued use of the subscription after the effective date of a properly noticed price change constitutes acceptance of the revised pricing.

15. TAXES
Subscribers are responsible for:
• sales taxes;
• use taxes;
• VAT where applicable;
• GST where applicable;
• local taxes;
• governmental assessments associated with their subscriptions,
except for taxes imposed upon Company's income.

16. AUTHORIZED RESELLERS
Subscribers may purchase subscriptions directly from Company or through an Authorized Celebrate360 Reseller.
Regardless of the sales channel:
• Company owns and operates the Platform;
• Subscriber accounts remain Company accounts;
• Platform licenses are granted by Company;
• Company retains ownership of all software and customer records maintained within the Platform.
Certain billing, onboarding, or customer support services may be coordinated through the Authorized Reseller in accordance with the applicable reseller agreement.

17. LICENSE GRANT
Subject to compliance with this Agreement, Company grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use subscribed services during the active subscription term.
No ownership rights are transferred.

18. PERMITTED USERS
Subscriber may authorize employees, managers, contractors, or other personnel to access the subscription solely for Subscriber's internal business purposes.
Subscriber remains responsible for all activity occurring under its accounts.

19. CUSTOMER DATA
Subscriber retains ownership of business information and customer information submitted through the Platform, subject to the licenses granted within this Agreement and the Terms of Service.
Company does not acquire ownership of Subscriber's customer database solely by hosting or processing such information.
Company may process customer information as necessary to provide subscribed services.

20. DATA PROCESSING
Company processes customer information on behalf of Subscriber for purposes including:
• reservations;
• customer engagement;
• loyalty programs;
• marketing automation;
• analytics;
• reporting;
• customer communications;
• software operation;
• fraud prevention;
• security.
Processing activities are governed by this Agreement and the Privacy Policy.

21. CUSTOMER RESPONSIBILITIES
Subscriber remains solely responsible for:
• customer service;

• honoring promotions;
• honoring reservations;
• honoring event registrations;
• pricing;
• taxes;
• legal compliance;

• obtaining legally required consents.

22. RESERVATION SERVICES
Celebrate360 Reserve™ provides software tools that enable Subscribers to manage reservations and related guest interactions.
Subscriber acknowledges that Company:
• does not own or operate the Subscriber's business;
• does not control reservation availability;
• does not guarantee reservation fulfillment;
• is not responsible for food quality, service quality, staffing, pricing, or customer experience.
Subscriber remains solely responsible for:
• accepting reservations;
• honoring reservations;
• seating guests;
• reservation policies;
• cancellation policies;
• no-show policies;
• guest communications;
• customer satisfaction.

23. EXPERIENCES AND SPECIAL EVENTS
Subscribers may create and manage:
• wine tastings;
• brewery events;
• chef experiences;
• cooking classes;
• ticketed events;

Subscriber is solely responsible for:
• event scheduling;
• pricing;
• event descriptions;
• staffing;
• permits;
• insurance;
• food and beverage service;
• taxes;
• refunds;
• cancellations;
• customer disputes.
Company provides only the software platform used to administer such offerings.

24. DEPOSITS AND PREPAID EXPERIENCES
Subscribers may require:
• reservation deposits;
• prepaid reservations;
• prepaid events;
• prepaid experiences;
• ticket purchases.
Subscriber is solely responsible for:
• determining deposit amounts;
• refund policies;
• cancellation policies;
• compliance with applicable law;
• customer disclosures.
Company does not guarantee collection of payments and is not responsible for payment disputes between Subscribers and their customers.

25. CUSTOMER COMMUNICATIONS
Subscribers may use the Platform to communicate with customers through:

• SMS;

• reservation reminders;
• waitlist notifications;
• birthday campaigns;
• anniversary campaigns;

• loyalty notifications;
• review requests;
• referral campaigns.
Subscriber is solely responsible for ensuring all communications comply with applicable laws including consent requirements.

26. EMAIL AND SMS COMPLIANCE
Subscriber represents that it has obtained all legally required permissions before sending communications through the Platform.
Subscriber agrees to comply with all applicable laws governing:

• telemarketing;

Company reserves the right to suspend messaging services where misuse or unlawful activity is reasonably suspected.

The Platform may utilize artificial intelligence to assist Subscribers with:

Subscriber acknowledges that AI-generated content should always be reviewed before distribution or implementation.
Company makes no guarantee regarding the accuracy, legality, or effectiveness of AI-generated recommendations.

28. CUSTOMER CONTENT
Subscriber retains ownership of:
• logos;
• photographs;
• menus;
• marketing materials;
• customer databases;
• reservation information;
• event information;
• promotional materials.
Subscriber grants Company a limited license to use such information solely as necessary to provide, improve, maintain, secure, and support the Platform.

29. USER-GENERATED CONTENT
Customers participating in loyalty programs, ThePrizeWheel™, reviews, referrals, contests, or promotions may voluntarily submit:
• reviews;
• ratings;
• photographs;
• videos;
• testimonials;
• comments;
• social media content.
Subscriber acknowledges that customer-generated content remains subject to applicable intellectual property laws and Company policies.

30. THIRD-PARTY SERVICES
The Platform may integrate with third-party providers including:
• payment processors;
• POS systems;
• accounting software;
• CRM platforms;
• Google services;
• Microsoft services;
• email providers;
• SMS providers;
• mapping services;
• analytics providers;
• API providers.
Company does not control or guarantee third-party services.
Changes by third-party providers may affect Platform functionality.

31. SOFTWARE UPDATES
Company continually enhances the Platform.
Subscriber acknowledges that Company may:
• improve functionality;
• modify workflows;
• redesign interfaces;
• enhance security;
• add features;
• discontinue legacy features;
• introduce new products.
Such updates generally occur automatically and are included as part of the subscription unless otherwise stated.

32. SUPPORT SERVICES
During an active subscription Company may provide support services as determined by the Subscriber's subscription plan.
Support may include:
• onboarding assistance;
• technical support;
• knowledge base resources;
• product documentation;
• software updates;
• bug fixes.
Company does not guarantee response times unless expressly agreed in writing.

33. SERVICE LEVELS
Unless separately agreed in writing, Company does not guarantee:
• uninterrupted availability;
• specific uptime percentages;
• immediate issue resolution;
• continuous third-party availability.
Company will use commercially reasonable efforts to maintain reliable service.

34. ACCEPTABLE USE
Subscriber agrees not to use the Platform to:
• violate applicable law;
• send unlawful communications;
• infringe intellectual property;
• distribute malware;
• transmit spam;
• conduct fraudulent activity;
• harass individuals;
• interfere with Platform operations;
• reverse engineer software;
• exploit security vulnerabilities.
Company may suspend accounts for violations.

35. CONFIDENTIAL INFORMATION
Each Party agrees to protect confidential information received from the other Party.
Confidential Information includes, without limitation:
• business plans;
• software;
• pricing not publicly disclosed;
• customer lists;
• technical documentation;
• trade secrets;
• financial information.
Confidential Information shall not include information that:
• becomes publicly available through no fault of the receiving Party;
• was lawfully known before disclosure;
• is independently developed;
• is lawfully received from another source without restriction.

36. SECURITY
Company employs commercially reasonable safeguards designed to protect Platform information.
Subscriber also agrees to maintain appropriate security practices including:
• safeguarding passwords;
• limiting account access;
• maintaining updated devices;
• reporting suspected security incidents promptly.
Neither Party can guarantee absolute security.

37. DATA RETENTION
Company retains Subscriber information only as long as reasonably necessary to:
• provide services;
• comply with law;
• resolve disputes;
• maintain security;
• enforce agreements.
Following account termination, certain information may remain in secure backups for limited periods consistent with normal retention practices.

38. ACCOUNT SUSPENSION
Company may suspend access where Subscriber:
• fails to pay subscription fees;
• violates this Agreement;
• violates applicable law;
• compromises Platform security;
• engages in fraudulent activity;
• materially interferes with Platform operations.
Where reasonably practical, Company will attempt to provide notice before suspension.
Immediate suspension may occur where necessary to protect the Platform or other users.

39. TERMINATION BY SUBSCRIBER
Subscriber may terminate its subscription in accordance with the applicable cancellation provisions and billing cycle.
Termination does not relieve Subscriber of obligations for fees already incurred prior to the effective termination date.

40. TERMINATION BY COMPANY
Company may terminate this Agreement for:
• material breach;
• repeated violations;
• fraud;
• unlawful conduct;
• misuse of the Platform;
• nonpayment;
• security concerns;
• circumstances creating material legal or operational risk.
Upon termination, Platform access may immediately cease.

41. EFFECT OF TERMINATION
Upon termination:
• subscription rights end;
• Platform access may be disabled;
• unpaid amounts become immediately due;
• confidentiality obligations survive;
• intellectual property protections survive;
• limitation of liability provisions survive;
• dispute resolution provisions survive.
Subscriber may request export of eligible data prior to permanent deletion, subject to Company policies and applicable law.

42. REFUNDS
Except as expressly stated in a separate written agreement or where required by applicable law, subscription fees are non-refundable.
Company may, in its sole discretion, issue credits or refunds under extraordinary circumstances; however, such actions shall not establish an obligation or precedent for future refunds.
Refunds, if any, do not include:
• third-party processing fees;
• implementation services already performed;
• custom development;
• professional services;
• completed onboarding services.

43. NO PERFORMANCE GUARANTEE
Subscriber acknowledges that Company does not guarantee:
• increased reservations;
• increased revenue;
• increased customer retention;
• improved customer loyalty;
• improved search rankings;
• increased reviews;
• increased referrals;
• increased profitability;
• marketing success.
The effectiveness of the Platform depends upon numerous factors outside Company's control, including Subscriber participation, business practices, customer behavior, competitive conditions, and market factors.

44. INTELLECTUAL PROPERTY
All software, technology, documentation, graphics, interfaces, workflows, source code, object code, databases, trademarks, service marks, logos, business methods, AI technologies, and other intellectual property associated with the Celebrate360 Platform remain the exclusive property of Company or its licensors.
Nothing contained in this Agreement transfers ownership of any Company intellectual property.

45. TRADEMARKS
Subscriber shall not use Company's trademarks, service marks, logos, or branding except:
• as expressly authorized in writing;
• in accordance with Company branding guidelines;
• as permitted under an Authorized Reseller Program Agreement where applicable.
Unauthorized use of Company intellectual property may result in immediate termination of this Agreement and other legal remedies.

46. CONFIDENTIALITY OF COMPANY MATERIALS
Subscriber agrees that non-public Company information, including:
• software architecture;
• technical documentation;
• pricing not publicly published;
• business methods;
• sales strategies;
• implementation methods;
• partner materials;
• reseller information;
• source code;
• proprietary workflows;
constitutes Confidential Information.
Subscriber shall not disclose such information without Company's prior written consent.

47. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CELEBRATE360 PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• TITLE;
• NON-INFRINGEMENT;
• ACCURACY;
• UNINTERRUPTED SERVICE;
• ERROR-FREE OPERATION.

48. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR:
• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• SPECIAL DAMAGES;
• EXEMPLARY DAMAGES;
• PUNITIVE DAMAGES;
• LOST PROFITS;
• LOST REVENUE;
• LOST BUSINESS OPPORTUNITIES;
• LOSS OF GOODWILL;
• LOSS OF DATA;
• BUSINESS INTERRUPTION.
COMPANY'S MAXIMUM AGGREGATE LIABILITY ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF:
(a) THE TOTAL SUBSCRIPTION FEES PAID BY SUBSCRIBER TO COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(b) ONE HUNDRED UNITED STATES DOLLARS (US $100.00),
EXCEPT WHERE A GREATER LIMITATION IS REQUIRED BY APPLICABLE LAW.

49. INDEMNIFICATION
Subscriber agrees to defend, indemnify, and hold harmless Company and its owners, officers, directors, employees, members, managers, contractors, affiliates, licensors, successors, assigns, and agents from and against any claims, liabilities, damages, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:
• Subscriber's violation of this Agreement;
• Subscriber's violation of applicable law;
• misuse of the Platform;
• customer disputes;
• reservation disputes;
• event disputes;
• payment disputes;
• infringement of third-party rights;
• submitted content;
• negligence;
• fraudulent conduct.

50. FORCE MAJEURE
Company shall not be liable for delays or failures caused by circumstances beyond its reasonable control including:
• acts of God;
• natural disasters;
• internet failures;
• utility failures;
• governmental actions;
• war;
• terrorism;
• labor disputes;
• cyberattacks;
• pandemics;
• failures of third-party providers.
Performance shall be suspended for the duration of such events.

51. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to conflict of law principles.

52. DISPUTE RESOLUTION
The Parties agree to first attempt to resolve disputes through good-faith negotiations.
If unresolved, disputes may proceed to mediation and thereafter to binding arbitration or litigation as permitted by applicable law and any applicable Order Form.
Nothing herein limits Company's right to seek temporary or permanent injunctive relief to protect:
• intellectual property;
• confidential information;
• security;
• proprietary technology.

53. ASSIGNMENT
Subscriber may not assign or transfer this Agreement without Company's prior written consent.
Company may assign this Agreement in connection with:
• mergers;
• acquisitions;
• financing transactions;
• reorganizations;
• affiliate transfers;
• sales of assets.

54. SEVERABILITY
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Any invalid provision shall be modified only to the minimum extent necessary to preserve its intended purpose.

55. WAIVER
Failure by Company to enforce any provision of this Agreement shall not constitute a waiver of future enforcement.
No waiver shall be effective unless made in writing by an authorized Company representative.

56. CHANGES TO THIS AGREEMENT
Company may modify this Agreement from time to time to reflect:
• legal developments;
• product enhancements;
• pricing changes;
• operational improvements;
• regulatory requirements.
Material revisions may be communicated through:
• website publication;
• account notifications;
• email;
• Platform notices;
• other reasonable electronic methods.
Continued use of the subscription following the effective date of revised terms constitutes acceptance of the updated Agreement to the extent permitted by applicable law.

58. ENTIRE AGREEMENT
This Agreement, together with the Terms of Service, Privacy Policy, App Terms of Use, SMS Messaging Terms, Cookie Policy, Authorized Reseller Program Agreement (where applicable), applicable Order Forms, and written amendments executed by Company, constitutes the complete agreement governing paid subscriptions to the Celebrate360 Platform.
It supersedes all prior oral or written understandings relating to the subject matter herein.

59. ACKNOWLEDGMENT
BY PURCHASING, ACCESSING, OR USING A PAID SUBSCRIPTION TO THE CELEBRATE360 PLATFORM, SUBSCRIBER ACKNOWLEDGES THAT IT HAS READ, UNDERSTOOD, AND AGREES TO BE LEGALLY BOUND BY THIS SUBSCRIPTION AGREEMENT.
IF YOU ARE ACCEPTING THIS AGREEMENT ON BEHALF OF A BUSINESS ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THIS AGREEMENT.
